End User License Agreement (EULA)

Overview

OnePenny is licensed to you by Ancla Tech LLC ("Licensor", "we", "us"), located at 867 Boylston Street, 5th Floor, Boston, MA 02116, United States, for use only under the terms of this End User License Agreement ("Agreement"). By downloading OnePenny from Apple's App Store or Google's Play Store (together, the "Services"), and any update to it, you agree to be bound by this Agreement.

The Services are not a party to this Agreement and have no obligation — warranty, liability, maintenance, or support — with regard to OnePenny; Ancla Tech LLC alone is responsible for it. This Agreement does not conflict with Apple's Media Services Terms and Conditions or Google Play's Terms of Service ("Usage Rules"), which we've reviewed. OnePenny is licensed to you for use only under this Agreement; we reserve all rights not expressly granted to you. OnePenny is intended for use on devices running iOS or Android.

1. The application

OnePenny ("Licensed Application") is software created to help you track your personal expenses, scan and organize receipts, and monitor your overall financial health, on iOS and Android devices. It organizes expenses, credit cards, and loans — tracked as reference information only, never full card numbers — to give you a clearer view of your financial health. It also scans receipts using AI-powered image recognition to extract their details, sends reminders for upcoming bills and payments, and generates expense reports for tax and budgeting purposes.

OnePenny is not tailored to comply with industry-specific regulations such as HIPAA or FISMA, so if your use would be subject to such laws, you may not use it. You may not use OnePenny in a way that violates the Gramm-Leach-Bliley Act.

2. Scope of license

You're given a non-transferable, non-exclusive, non-sublicensable license to install and use OnePenny on any devices you own or control, as permitted by the Usage Rules (including via Family Sharing or volume purchasing). This license also governs any update we provide, unless a separate license accompanies that update.

You may not share or make OnePenny available to third parties, sell, rent, lend, lease, or otherwise redistribute it, except as the Usage Rules allow or with our prior written consent. You may not reverse engineer, translate, disassemble, decompile, modify, combine, create derivative works of, or attempt to derive the source code of OnePenny or any part of it, except with our prior written consent.

You may not copy or alter OnePenny except as this license and the Usage Rules allow; you may keep backup copies only on devices you own or control, and may not remove any intellectual property notices. If you sell a device, remove OnePenny from it first. Violating these terms, or attempting to, may result in legal action. We may modify these licensing terms, and nothing here restricts your obligations under Apple's or Google's own terms.

3. Technical requirements

OnePenny requires a reasonably current version of iOS or Android; we recommend using the latest one. We try to keep OnePenny updated to work with new OS and hardware versions, but you're not entitled to claim such an update. It's your responsibility to confirm your device meets these requirements, and we may change them at any time.

4. Maintenance and support

We're solely responsible for any maintenance and support for OnePenny — you can reach us at legal@anclado.app or by phone at (617) 917-9629, Monday to Friday, 9AM - 5PM Eastern Time. Apple and Google have no obligation to provide maintenance or support for OnePenny.

5. Use of data

We may access and adjust your downloaded content and personal information; our use of it is governed by our Privacy Policy at https://www.anclado.app/legal/privacy. We may periodically collect technical data about your device and how you use OnePenny to offer support, facilitate updates, and improve our products — in a form that doesn't personally identify you, wherever possible.

6. Liability

Our responsibility for violation of obligations or tort is limited to intent and gross negligence, except for a breach of essential contractual duties, where we're also liable for slight negligence — and even then, only for foreseeable, typical damages. None of this limits liability for injury to life, limb, or health.

We take no responsibility for damage caused by your breach of the Scope of License section above. Back up your data using OnePenny's own export and backup features, to the extent third-party terms allow; if you alter or manipulate OnePenny, you may lose access to it.

7. Warranty

We warrant that OnePenny is free of spyware, trojans, viruses, or other malware at the time you download it, and that it works as described in our Help documentation. This warranty doesn't cover a device that can't run OnePenny, or a copy that's been modified, mishandled, combined with inappropriate hardware or software, or affected by anything outside our control.

Inspect OnePenny right after installing it, and tell us about any issue without delay at legal@anclado.app — we'll consider a defect report emailed within thirty (30) days of discovery. If we confirm a defect, we'll either fix it or provide a replacement. If OnePenny fails to meet an applicable warranty, you may also seek a refund of your purchase price through the Service you downloaded it from, per that Service's own refund policy.

8. Product claims

We — not Apple or Google — are responsible for any claim relating to OnePenny or your use of it, including product-liability claims, a claim that OnePenny fails to meet a legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar law.

9. Legal compliance

You represent that you're not located in a country subject to a US government embargo or designated as "terrorist supporting", and that you're not on any US government list of prohibited or restricted parties.

11. Termination

This license is valid until you or we terminate it. Your rights terminate automatically, without notice, if you fail to comply with any term of this Agreement. Once terminated, stop using OnePenny and delete every copy of it, full or partial.

12. Third-party terms of agreement and beneficiary

We'll comply with applicable third-party terms while operating OnePenny. Apple and Google, and their subsidiaries, are third-party beneficiaries of this Agreement — once you accept it, they each have the right to enforce it against you, per their own developer agreement requirements.

13. Intellectual property rights

If a third party claims that OnePenny, or your possession or use of it, infringes their intellectual property rights, we — not Apple or Google — are solely responsible for investigating, defending, settling, and resolving that claim.

14. Applicable law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, excluding its conflict-of-law rules.

15. Miscellaneous

If any term of this Agreement is or becomes invalid, the rest stays in effect; an invalid term is replaced with a valid one that achieves the same purpose as closely as possible. Any side agreement, change, or amendment is only valid in writing.

OnePenny is the flagship application of the Anclado platform, operated by Ancla Tech LLC. Your account, created through Anclado, governs your access to OnePenny and to any other application later published on the Anclado platform.
